I have pny g3 ti 200 ( which is the same as msi) with 28.32 driver. Running under win xp, intel celeron 1.2 GHz, Intel mobo. No problem so far. I did not overclock the card though.
Not sure wher your problem may be, but maybe it's too hot? If you say that the new driver cause problem, why not just use 28 drivers.
